Gifts Are Blue is a trade name of Legacy Retailers Inc. Throughout these Terms of Service, the terms "Gifts Are Blue," "we," "us," and "our" refer to Legacy Retailers Inc., doing business as Gifts Are Blue.

Gifts Are Blue operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Gifts Are Blue is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, purchasing from, or otherwise using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you are the age of majority in your jurisdiction of residence and have given your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including accessing or browsing our online store or purchasing any products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information, shipping information, or other information necessary to process your transaction.

You represent and warrant that all information you provide through our store is accurate, current, and complete and that you have all rights necessary to provide such information.

You are solely responsible for maintaining the security of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to accurately represent our products and services in our online store. However, colors and product appearance may differ from how they appear on your screen due to your device, monitor, display settings, lighting, photography, and other factors.

Because many Gifts Are Blue products are personalized, customized, handmade, decorated, printed, engraved, or otherwise produced to order, minor variations in positioning, color, texture, appearance, or production may occur. Such normal variations do not necessarily constitute a product defect.

We do not warrant that the appearance or quality of any products or services purchased by you will be identical to how they appear on your screen or in photographs, mockups, or digital renderings.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue products and to limit the quantities of products or services offered to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 3 - PERSONALIZED AND CUSTOMIZED PRODUCTS

Many products sold by Gifts Are Blue are personalized or customized specifically for the customer.

You are responsible for carefully reviewing all information submitted with your order before completing your purchase, including, where applicable:

Names and spelling
Initials and monograms
Dates
Titles or roles
Sizes
Colors
Fonts
Personalization text
Design selections
Product selections
Shipping information
Other customization instructions

We generally produce personalized products using the information exactly as it is submitted to us. Gifts Are Blue is not responsible for errors contained in personalization information supplied or approved by the customer.

Changes and Cancellations

Requests to change or cancel a personalized or customized order must be submitted within 30 minutes after the order is placed.

After the 30-minute cancellation period, production may have already begun. We may attempt to accommodate a requested change or cancellation after that period when reasonably possible, but we cannot guarantee that changes or cancellations can be made.

If production has begun, materials have been prepared, personalization has been created, or a customized item has otherwise entered the production process, the order may no longer be eligible for cancellation or modification.

Returns, exchanges, refunds, and remedies relating to personalized and customized merchandise are governed by our Refund Policy.

SECTION 4 - ORDERS

When you place an order, you are making an offer to purchase. Gifts Are Blue reserves the right to accept or decline an order as permitted by law.

Your order is not accepted until we confirm acceptance. We must receive and process your payment before an order is accepted.

Please review your order carefully before submitting it, particularly personalization and customization information.

If we decline, change, or cancel an order, we may attempt to notify you using the email address, billing address, shipping address, and/or telephone number provided with the order.

Your purchases are subject to our Refund Policy.

Unless otherwise expressly agreed by Gifts Are Blue, products purchased through our consumer storefront are intended for personal or household use and not for unauthorized commercial resale or export.

SECTION 5 - PRICES AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice.

The price charged for a product or service will generally be the price in effect when the order is placed and will be reflected in your order confirmation.

Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping charges, handling charges, customs duties, import taxes, brokerage charges, or other governmental charges that may apply.

Prices offered through our online store may differ from prices offered through physical locations, marketplaces, sales channels, wholesale channels, third-party platforms, or other stores.

We may offer promotions that are governed by separate terms and conditions. If the terms of a specific promotion conflict with these Terms, the terms applicable to that promotion will control with respect to that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information.

You represent and warrant that payment information you provide is accurate, that you are authorized to use the applicable payment method, and that charges incurred in connection with your purchase will be honored by the applicable payment provider.

SECTION 6 - SHIPPING AND DELIVERY

Processing times and delivery dates displayed or communicated by Gifts Are Blue or a shipping carrier are estimates unless we expressly state otherwise.

Delivery may be affected by carrier operations, weather, natural disasters, customs processing, peak-season volume, incorrect or incomplete delivery information, transportation disruptions, governmental actions, or other circumstances outside our reasonable control.

Gifts Are Blue will make reasonable efforts to assist customers with locating packages that are significantly delayed, lost, or appear to have been misdelivered after shipment. When appropriate, we may assist with contacting the carrier, obtaining available tracking information, or initiating an applicable carrier inquiry or claim.

However, carrier investigations, tracking updates, delivery determinations, and claim decisions may be outside Gifts Are Blue's control.

Customers are responsible for providing a complete and accurate shipping address. Additional charges resulting from an incorrect, incomplete, or undeliverable address supplied by the customer may be the customer's responsibility to the extent permitted by law.

Nothing in this section limits any rights or remedies available to a customer under applicable law.

Package Protection

When available, customers may be offered the option to purchase package protection or shipping insurance during checkout.

Any such coverage may be provided by Gifts Are Blue, a shipping carrier, or a third-party protection or insurance provider. Coverage, eligibility, exclusions, deadlines, claim requirements, reimbursement, replacement, and other benefits are subject to the terms and conditions applicable to the particular protection or insurance program.

The availability of package protection does not limit any rights or remedies that cannot lawfully be waived.

SECTION 7 - INTERNATIONAL ORDERS, CUSTOMS AND DUTIES

Gifts Are Blue may ship products internationally to supported destinations.

International shipments may be subject to customs processing, inspections, import duties, taxes, tariffs, brokerage charges, handling fees, or other governmental charges imposed by the destination country or jurisdiction.

Unless expressly stated otherwise at checkout or required by applicable law, these charges are not included in the product price or shipping charge collected by Gifts Are Blue and may be the responsibility of the recipient.

Customs requirements and charges vary by country and may change without notice. Customers are responsible for understanding applicable import requirements for their destination.

Gifts Are Blue does not control customs agencies and cannot guarantee how long an international shipment will take to clear customs.

Customers are responsible for providing complete and accurate information necessary for international shipment and customs processing.

SECTION 8 - INTELLECTUAL PROPERTY

Our Services, including but not limited to trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by Gifts Are Blue, Legacy Retailers Inc., their affiliates or licensors and are protected by applicable U.S. and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only.

You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or otherwise exploit material from the Services without our prior written consent, except as expressly permitted by law.

Nothing in these Terms grants or shall be construed as granting a license or other rights under any patent, trademark, copyright, or other intellectual property belonging to Legacy Retailers Inc., Gifts Are Blue, Shopify, or any third party.

Gifts Are Blue's names, logos, product and service names, designs, and slogans are trademarks or intellectual property of Legacy Retailers Inc., its affiliates, or licensors as applicable. They may not be used without appropriate permission.

Shopify's names, logos, product and service names, designs, and slogans are trademarks of Shopify. Other names, logos, product and service names, designs, and slogans appearing through the Services may be trademarks of their respective owners.

SECTION 9 - OPTIONAL TOOLS

You may be provided with access to tools offered by third parties as part of the Services, which we may neither monitor nor control.

You acknowledge and agree that access to such tools may be provided "as is" and "as available" without warranties, representations, or conditions of any kind and without endorsement.

To the extent permitted by law, we shall have no liability arising from or relating to your use of optional third-party tools.

Affiliate Disclosure

Gifts Are Blue is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make through our Store are made directly with Legacy Retailers Inc., doing business as Gifts Are Blue.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Gifts Are Blue, including injury, damage, or loss resulting from purchased products and services.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions made with Gifts Are Blue.

Because the Services are hosted by Shopify, Shopify collects and processes certain personal information relating to your access to and use of the Services in order to provide and improve the Services.

SECTION 13 - SMS AND TEXT MESSAGE MARKETING

Gifts Are Blue may offer customers the opportunity to receive recurring marketing and promotional communications by SMS or text message.

By voluntarily providing your mobile telephone number through an SMS signup form or another method that expressly requests your consent to receive marketing text messages, and by completing the applicable opt-in process, you agree to receive recurring marketing and promotional text messages from Gifts Are Blue at the mobile number you provide.

Messages may include, where permitted:

Promotions and special offers
New products and collections
Seasonal and occasion-based gift reminders
Limited-time sales
Personalized gift ideas
Shopping cart or checkout reminders
Other marketing or promotional communications

Consent to receive marketing text messages is not a condition of purchasing any goods or services from Gifts Are Blue.

Message frequency may vary.

Message and data rates may apply.

You are responsible for charges imposed by your wireless carrier in connection with text messages.

Opting Out

You may opt out of marketing text messages at any time by replying STOP to a marketing message from Gifts Are Blue.

After submitting an opt-out request, you may receive a message confirming that your request has been processed. You will no longer receive marketing SMS messages from the applicable program unless you subsequently opt in again.

Where supported, you may reply HELP for assistance. You may also contact Gifts Are Blue using the customer-service information provided at the end of these Terms.

Mobile Number Changes

You agree that the mobile number you provide belongs to you or that you are authorized to provide it and consent to receive messages at that number.

Carriers and Delivery

Wireless carriers are not responsible for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission by your wireless carrier and other service providers and cannot be guaranteed.

You represent and warrant that you own or have the necessary rights to submit the Feedback, that you have appropriately disclosed compensation or incentives associated with your submission where required, and that your Feedback complies with these Terms.

We are under no obligation to maintain Feedback in confidence, compensate you for Feedback unless otherwise agreed, or respond to Feedback.

We may monitor, edit, or remove Feedback that we reasonably determine violates these Terms, applicable law, intellectual property rights, or the rights of others.

You are responsible for Feedback you submit and its accuracy.

SECTION 15 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information available through the Services may contain typographical errors, inaccuracies, or omissions relating to matters including product descriptions, personalization options, pricing, promotions, offers, shipping charges, transit times, or availability.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if information is inaccurate, subject to applicable law.

You may access and use the Services only for lawful purposes.

You may not access or use the Services, directly or indirectly:

For unlawful or malicious purposes
To violate applicable laws or regulations
To infringe our intellectual property rights or those of others

You may not use robots, spiders, scraping tools, automated data-gathering tools, AI tools, agentic AI, or other automated or manual means to access or extract content from the Services in violation of these Terms or measures we employ to control automated access.

We reserve the right to suspend, disable, or terminate access when we reasonably determine these Terms have been violated.

You will remain responsible for amounts properly due through the effective date of termination.

The provisions of these Terms that by their nature should survive termination will continue to apply following termination, including provisions concerning Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and other provisions intended to survive.

Information presented on or through the Services is made available for general informational purposes. We do not warrant the accuracy, completeness, reliability, or usefulness of information except as expressly required by applicable law.

Any reliance you place on information available through the Services is at your own risk, subject to rights and remedies that cannot lawfully be excluded.

EXCEPT AS EXPRESSLY STATED BY GIFTS ARE BLUE OR REQUIRED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT.

WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT USE OF THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS. IN THOSE JURISDICTIONS, SOME OF THE ABOVE PROVISIONS MAY NOT APPLY TO YOU.

Nothing in these Terms excludes or limits warranties, guarantees, rights, or remedies that cannot lawfully be excluded or limited.

SECTION 20 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGACY RETAILERS INC., DOING BUSINESS AS GIFTS ARE BLUE, AND OUR AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Nothing in these Terms is intended to exclude, restrict, or modify any consumer right, remedy, guarantee, warranty, or other protection that cannot legally be excluded, restricted, or modified.

SECTION 21 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Legacy Retailers Inc., doing business as Gifts Are Blue, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities, claims, and reasonable attorneys' fees payable to a third party arising from:

Your material breach of these Terms of Service or documents incorporated into these Terms by reference;
Your violation of applicable law or the rights of another person or entity; or
Your misuse of the Services.

We will provide reasonable notice of an indemnifiable claim where appropriate. Failure to promptly provide notice will not relieve you of your obligations except to the extent you are materially prejudiced by the delay.

We may control the defense and settlement of an applicable claim at your expense, including selection of counsel, but will not agree to a settlement imposing non-monetary obligations on you without your consent, which will not be unreasonably withheld.

You agree to reasonably cooperate in the defense of an indemnified claim, including by providing relevant information or documents.

SECTION 22 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforceable to the fullest extent permitted by applicable law.

The unenforceable portion will be deemed severed from these Terms to the extent necessary, and the determination will not affect the validity or enforceability of the remaining provisions.

SECTION 23 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms of Service, together with policies, notices, and operating rules posted by us through the Services or expressly incorporated by reference, constitute the agreement between you and us concerning your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals concerning the same subject matter, whether oral or written, except where otherwise expressly agreed.

Any ambiguity in these Terms will not automatically be construed against the party that drafted them.

SECTION 24 - ASSIGNMENT

You may not delegate, transfer, or assign these Terms or your rights or obligations under these Terms without our prior written consent, and any attempted assignment made in violation of this provision may be void to the extent permitted by applicable law.

We may transfer, assign, or delegate these Terms and our rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, transfer of the Gifts Are Blue business, or other lawful business transaction, subject to applicable law.

These Terms of Service and any separate agreements through which we provide the Services will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable consumer-protection laws require otherwise.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services may be brought in courts of competent jurisdiction serving the location in Texas where Legacy Retailers Inc. is headquartered.

Nothing in this section deprives a consumer of protections or rights that cannot lawfully be waived under the laws applicable to that consumer.
